Visual Embassy - Terms of Service

  • Agreement to Terms:
    • By accessing or using the services (the "Services") provided by Visual Embassy, including but not limited to website development, app development, and digital marketing solutions, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services.
  • Services:
    • Website and App Development: Custom-built websites and applications tailored to the client’s specific business needs and goals.
    • Hosting & Maintenance: Optional hosting services, regular maintenance, and technical support to ensure smooth operation and security of your digital properties.
    • SEO & Digital Marketing: Search engine optimization and online marketing strategies to help clients increase visibility and attract customers.
    • E-Commerce Solutions: Fully-integrated e-commerce websites that provide secure and user-friendly online shopping experiences.
    • Consultation & Strategy: Offering business and technology consultations to help guide your digital strategies.
  • Client Responsibilities:
    • Clients agree to provide all necessary content, information, and access required to complete the Services, including but not limited to:
      • Timely access to project materials such as text, images, and design elements.
      • Payment for Services as outlined in the agreed-upon contract.
      • Responsiveness to communication from Visual Embassy regarding project milestones, changes, and approvals.
    • Failure to provide necessary materials or feedback may result in delays or additional fees.
  • Project Timelines:
    • While Visual Embassy aims to meet project deadlines, delays can occur due to factors beyond our control, including client delays in providing information, approval times, or scope changes. Any timeline adjustments will be communicated with the client as soon as possible.
  • Payment and Fees:
    • Clients will be provided with a detailed quote or contract prior to beginning any work. Payment schedules are typically as follows:
      • A deposit (typically 50%) is required before work begins.
      • The remaining balance is due upon project completion, before handover or launch.
    • Failure to make timely payments may result in project suspension or termination. Any additional services or changes beyond the original scope may result in additional fees.
  • Intellectual Property Rights:
    • Upon full payment, all custom designs, websites, and applications created by Visual Embassy become the property of the client. However, Visual Embassy reserves the right to display these projects in our portfolio, website, and marketing materials unless otherwise agreed.
    • Visual Embassy retains ownership of any proprietary tools, software, or code that may be used in the development of the project but is not included in the deliverables (such as custom CMS frameworks, plugin code, or third-party software licenses).
  • Third-Party Services:
    • Visual Embassy may integrate third-party services or software (such as hosting, analytics tools, or payment gateways) into client websites or apps. Visual Embassy is not responsible for any downtime, data loss, or issues caused by third-party services.
    • Clients are responsible for maintaining their own accounts, licenses, and compliance with the terms and conditions of these third-party services.
  • Limitations of Liability:
    • Visual Embassy will not be liable for any damages, including but not limited to loss of profits, business interruption, or loss of information, arising out of the use or inability to use the Services provided.
    • Visual Embassy’s total liability in contract, tort (including negligence), or otherwise, arising out of or in connection with the Services shall not exceed the total fees paid by the client under the relevant agreement.
  • Termination:
    • Either party may terminate the agreement at any time by providing written notice. If the client terminates the agreement, they will be responsible for any work completed up to that point and any non-refundable expenses incurred by Visual Embassy.
    • Visual Embassy reserves the right to terminate Services if a client breaches these Terms of Service, including failure to make timely payments.
  • Amendments to Terms:
    • Visual Embassy reserves the right to modify or update these Terms of Service at any time. Any significant changes will be communicated to existing clients. Continued use of the Services constitutes acceptance of any modified terms.
  • Governing Law:
    • These Terms of Service are governed by the laws of the State of California, without regard to its conflict of law provisions. Any legal disputes arising from these Terms of Service will be handled in the courts located in Los Angeles, California.
